Terms of Service

Please read these terms carefully before using the Truesant platform.

1. Acceptance

By registering an account or accessing the Truesant platform ("Platform"), you ("Customer") agree to be bound by these Terms of Service ("Terms"). If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree, do not use the Platform.

2. Services

Truesant provides a cloud-based workforce management and Employer of Record (EoR) platform, including payroll processing, compliance tooling, document management, and related services ("Services"), as described in the applicable Order Form or subscription plan agreed at sign-up.

We may update, modify, or discontinue features with reasonable notice. For material changes to paid features, we will provide at least 30 days' notice.

3. Accounts and access

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must immediately notify Truesant of any suspected unauthorised access.

You agree not to share credentials, create accounts using automated means, or use the Platform to perform any activity that violates applicable law.

4. Acceptable use

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
  • Attempt to gain unauthorised access to any part of the Platform or its infrastructure.
  • Introduce malicious code, viruses, or any software intended to disrupt the Platform.
  • Harvest, scrape, or collect data from the Platform without prior written consent.
  • Reverse-engineer, decompile, or disassemble any part of the Platform.
  • Resell or sublicense access to the Platform unless expressly permitted in writing.

5. Customer data

You retain all ownership of the workforce and organisational data you upload or input into the Platform ("Customer Data"). You grant Truesant a limited, non-exclusive licence to process Customer Data solely to provide and improve the Services.

You are responsible for ensuring that Customer Data you input complies with applicable data protection laws, including obtaining any required consents from individuals whose data you manage on the Platform.

6. Fees and payment

Subscription fees are billed in advance on a monthly or annual basis, as selected at sign-up. All fees are exclusive of applicable taxes (VAT, GST, etc.), which will be added where legally required.

Late payments may result in suspension of the account after 14 days' written notice. Fees paid are non-refundable except as required by applicable consumer protection law or as expressly stated in an Order Form.

7. Intellectual property

The Platform, including all software, design, trademarks, and content (excluding Customer Data) is and remains the intellectual property of Truesant. Nothing in these Terms transfers any ownership to you. You receive a limited, non-transferable licence to use the Platform solely for your internal business purposes during the subscription term.

8. Confidentiality

Each party may have access to confidential information of the other party. Each party agrees to keep such information confidential and to use it only for the purposes of the commercial relationship, applying at minimum the same level of care as it applies to its own confidential information.

9. Warranties and disclaimers

Truesant warrants that the Platform will perform materially as described in its documentation under normal use. We target 99.9 % monthly uptime (excluding scheduled maintenance).

Except as stated above, the Platform is provided "as is". To the maximum extent permitted by law, we disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the maximum extent permitted by applicable law, Truesant's aggregate liability arising out of or related to these Terms shall not exceed the fees paid by you in the 12 months preceding the event giving rise to the claim. Neither party shall be liable for indirect, incidental, consequential, or punitive damages.

11. Termination

Either party may terminate these Terms for convenience with 30 days' written notice. Truesant may suspend or terminate immediately for material breach, non-payment, or activity that poses a security or legal risk.

On termination, we will make your Customer Data available for export for 60 days, after which it will be deleted in accordance with our Privacy Policy.

12. Governing law

These Terms are governed by Swedish law. Any dispute shall be resolved in the courts of Stockholm, Sweden, without regard to conflict of law principles.

13. Changes

We may revise these Terms at any time. For material changes, we will provide at least 14 days' notice by email. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
